Software Subscriber Agreement

TIC-MS, INC. OLM SOFTWARE SUBSCRIBER AGREEMENT This agreement is between TIC-MS, Inc., a Missouri Corporation and the OLM subscriber listed below. This agreement defines the following conditions as true statements and binds the parties to this agreement to the terms contained herein. No part of this agreement may be altered without the written consent of all of the signatory parties. This software is the sole and exclusive property of TIC-MS, Inc. and title or interest in this software shall not be construed as being transferred to the subscriber in any way whatsoever. Subscriber is free to use this software in the manner prescribed so long as subscriber remains an active customer of TIC-MS, Inc. as defined by the Calibration Compliance Program enrollment form. Use of this software is limited to subscriber’s facility defined below and may be freely placed on as many computers as are on the premises of the facility defined below.TIC-MS, Inc. intends this software to be a working tool to assist Calibration Compliance Program subscribers in controlling and reporting on calibration requirements at the below defined location. It is not the intent of TIC-MS, Inc. to allow the redistribution, copying to other parties outside of the subscriber location described below, competitors of TIC-MS, Inc. , other vendors , salesmen, designers, or any other party except the CCP customer described below in the normal course of business at the location defined below. User agrees that any other use of this software would damage the market position of TIC-MS, Inc. and subscriber is expressly prohibited from any other use. Subscriber is free to request modifications and changes to this software by contacting the undersigned TIC-MS, Inc. Representative. TIC-MS, Inc. will make all reasonable changes to the software as subscriber may require and subscriber will be advised before changes are made as to what costs, if any, the subscriber shall be required to defray. Any changes made to the software at subscriber’s request, whether paid for by subscriber or not, shall become a part of the software program and will become the exclusive property of TIC-MS, Inc. Modifications made at subscriber request do not transfer any rights to the resulting software to subscriber.TIC-MS, Inc wants the OLMã software to be a pleasant and rewarding experience for the subscriber. Every effort will be made to perform whatever services are required to meet subscriber’s requirements. TIC-MS, Inc. trusts that all parties will respect the terms of this agreement and that the software will be fun and profitable to use.
